eData Business Media Group Property Management Terms & Conditions

Effective Date: May 19, 2025




1. Acceptance of Terms


By accessing or using the eData Business Media Group (“eData,” “we,” “us”) Property Management platform (the “Platform”), you (“Customer,” “you”) agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree to these Terms, do not use the Platform.




2. Definitions




  • Services” means the software, tools, and support provided via the Platform for property marketing, leasing, accounting, maintenance coordination, and reporting.




  • User” refers to any individual you authorize to use the Platform under your account.




  • Subscription Term” means the period during which you have paid the applicable subscription fees.






3. License Grant


Subject to these Terms and your payment of all applicable fees, eData grants you a non-exclusive, non-transferable license to access and use the Services during your Subscription Term solely for your internal property management purposes.




4. Account Registration & Security


You are responsible for providing accurate and up-to-date registration information.

You must keep your account credentials secure and are liable for all activity occurring under your account.

Notify us immediately of any unauthorized use or security breach.




5. Subscription Fees & Payment




  • Fees: You agree to pay all subscription fees and applicable taxes as specified in your order form or online subscription.




  • Invoicing & Payment: Fees are billed in advance on a monthly or annual basis, according to your selected plan, using the payment method you provide.




  • Late Payments: Overdue payments may accrue interest at a rate of 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend access until payment is received.






6. Free Trial


If you register for a free trial, you will have full access to the Platform for a limited period at no charge. At the end of the trial, you must upgrade to a paid plan to continue using the Services. Otherwise, your access will be disabled.




7. Customer Data & Privacy




  • Ownership: You retain all rights to your data (“Customer Data”). We will process your data only to provide the Services.




  • Privacy: Our Privacy Policy governs the collection, use, and storage of personal information. By using the Platform, you consent to the practices described in the Privacy Policy.






8. Use Restrictions


You agree not to:

a. Reverse-engineer, decompile, or disassemble the Platform.

b. Use the Services to violate any applicable law or infringe upon third-party rights.

c. Transmit viruses, malware, or other harmful code.

d. Sell, sublicense, or redistribute the Services.




9. Intellectual Property


All content, trademarks, logos, and software (excluding your Customer Data) are the property of eData or its licensors. No ownership rights are transferred to you under these Terms.




10. Support & Updates




  • Support: We provide support via email and phone during our business hours, as described on our Support page.




  • Updates: We may update or modify the Platform at our discretion. These Terms will apply to any such updates.






11. Warranties & Disclaimers




  • Limited Warranty: eData warrants that the Services will perform materially in accordance with the documentation provided.




  • Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.






12. Limitation of Liability


TO THE MAXIMUM EXTENT PERMITTED BY LAW, eDATA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS) ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.




13. Indemnification


You agree to indemnify and hold harmless eData and its officers, directors, and employees from any claims, damages, or liabilities arising from:

a. Your misuse of the Platform,

b. Your violation of these Terms, or

c. Your infringement of any third-party rights.




14. Termination




  • By You: You may cancel your subscription at any time through your account settings. Termination will take effect at the end of your current billing period.




  • By Us: We may suspend or terminate your access to the Platform for a breach of these Terms, non-payment, or as required by law, following notice to you.






15. Effects of Termination


Upon termination, your license to use the Services will end, and we may disable access to your Customer Data. You may request a data export within thirty (30) days of termination. After that period, your data may be permanently deleted.




16. Changes to Terms


We may update these Terms at any time by posting revised Terms on the Platform. Changes are effective upon posting. Continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.




17. Governing Law & Dispute Resolution


These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Boca Raton, Florida.




18. Entire Agreement


These Terms, together with any applicable order forms and our Privacy Policy, constitute the entire agreement between you and eData and supersede all prior agreements or understandings, whether written or oral.
